Seddons Advises Maslow Capital in Sale of Remaining Shares to Arrow Global

Seddons has advised Maslow Capital Global Limited (“Maslow Capital”), a leading provider of real estate development finance, and its management team on the sale by the management team of their remaining interest in Maslow Capital to Arrow Global Investments Holdings Limited (“Arrow Global”), a leading European vertically integrated asset manager specialising in credit and real estate.

The Seddons team who advised on the transaction was led by Corporate partner Ilan Kotkis, and included Corporate partner Ben Gillespie, Employment partner Helen Crossland, Corporate solicitor Libby Morris, and Corporate trainee Emma Thresher. Seddons advised on all corporate, commercial and employment aspects of the transaction. Arrow Global and its parent company TDR Capital were advised by Slaughter and May.

Maslow Capital is a long-standing client, for whom the Seddons team has acted on all significant corporate transactions for over nine years. This included advising on Maslow Capital’s joint ventures with Tier-1 institutional investors and financing parties in 2016 and 2020 and the sale by management of a significant minority interest in Maslow Capital to Arrow Global in 2021.

Ilan Kotkis, Corporate Partner at Seddons, comments: “We are thrilled to have advised Maslow Capital on their full acquisition by Arrow Global. Maslow has been a long-standing client, and our team has had the privilege of advising them on significant corporate transactions for many years. This deal is another example of Seddons’ ability to advise on all aspects of significant and complex M&A transactions. We look forward to continuing to work with Maslow within its new ownership structure as it seeks to expand its operational reach across Europe by leveraging Arrow’s European asset management and servicing network, and as we as a firm continue to develop our M&A offering with particular focus on the real estate finance sector.
